These Terms & Conditions ("Terms") govern your access to and use of the Talknology platform, websites, applications, voice agents, APIs, and related services (collectively, the "Services") operated by Vital Health Services ("Talknology", "we", "us", or "our").
By accessing or using the Services, you agree to these Terms.
1. Overview of Services
Talknology provides AI-powered voice automation and operational tools for businesses, including appointment scheduling, inbound and outbound calling, CRM integrations, calendar integrations, payment collection workflows, customer communication, and related automation services.
We may update, improve, modify, or discontinue portions of the Services from time to time.
2. Accounts
To access certain features, you may be required to create an account.
You agree to provide accurate account information and to maintain the security of your login credentials. You are responsible for activity occurring under your account.
3. Subscription Billing
Certain Services are provided on a subscription basis.
Subscriptions automatically renew unless canceled before the next billing cycle. Payments are processed through Stripe or other designated payment providers.
Talknology may offer a fourteen (14) day free trial for eligible customers. Following the trial period, paid billing may begin automatically unless canceled beforehand.
Fees are non-refundable except where required by applicable law.
4. Acceptable Use
You agree to use the Services in compliance with applicable laws and regulations.
You may not use the Services for unlawful activity, fraudulent communications, spam, unauthorized telemarketing, abusive conduct, or activities that infringe upon the rights of others.
We reserve the right to suspend or terminate accounts that misuse the Services or create security, legal, or operational risks.
5. Communications & Compliance
Certain Services may involve voice calls, recordings, transcripts, automated messaging, and communication workflows.
Customers are responsible for ensuring that their use of the Services complies with applicable communication, privacy, consent, healthcare, and consumer protection laws, including TCPA and call recording requirements where applicable.
6. Healthcare Workflows
Talknology may be used in connection with healthcare-related workflows and communications.
We maintain safeguards designed to support HIPAA-compliant handling of protected health information (PHI) and work with infrastructure providers that support healthcare-related environments and compliance requirements.
Talknology is designed to support healthcare organizations and HIPAA-regulated workflows. Customers remain responsible for their own internal compliance obligations, policies, procedures, and lawful use of the Services.
The Services are intended to support operational workflows and are not a substitute for professional medical judgment or emergency services.
7. AI & Automation
The Services utilize artificial intelligence, speech recognition, and automation technologies.
While we continuously work to improve platform performance and reliability, automated outputs and AI-generated responses may require human review depending on the use case.
8. Third-Party Integrations
The Services may integrate with third-party providers and platforms including Twilio, Stripe, Google Calendar, CRM systems, and other services selected by customers.
Your use of third-party services is governed by the applicable third-party terms and policies.
9. Intellectual Property
Talknology and its licensors retain all rights, title, and interest in the Services, software, branding, technology, and related intellectual property.
Subject to these Terms, Talknology grants you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business purposes.
10. Customer Data
Customers retain ownership of the data and content submitted or processed through the Services.
You grant Talknology a limited license to host, process, and transmit Customer Data solely as necessary to provide and maintain the Services.
11. Availability
We work to provide reliable and secure Services; however, availability may occasionally be affected by maintenance, technical issues, internet disruptions, or third-party service interruptions.
The Services are provided on an "as is" and "as available" basis.
12. Limitation of Liability
To the maximum extent permitted by law, Talknology shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from use of the Services.
Talknology's total liability relating to the Services shall not exceed the amount paid by you to Talknology during the twelve (12) months preceding the claim.
13. Termination
We may suspend or terminate access to the Services if these Terms are violated or if necessary to protect the Services, customers, or platform integrity.
You may cancel your subscription at any time. Cancellation will take effect at the end of the current billing cycle.
14. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.
Any disputes relating to these Terms or the Services shall be resolved through binding arbitration in Texas, except where prohibited by law.
15. Changes to Terms
We may update these Terms from time to time. Updated Terms become effective upon posting.
Continued use of the Services after updates are posted constitutes acceptance of the revised Terms.
